This End-User License Agreement (the "Agreement") governs your use of the Locate2u platform, products and services. Please read it carefully. By using the Platform, Products or Services, you agree to be bound by these terms. If you do not agree, you must cease usage immediately.
Locate2u Pty Ltd (ACN 636 392 035) provides software and technological products for delivery and field service management. This Agreement governs use of the Platform, Products and Services. By using the Platform, Products or Services, you agree to be bound by these terms. If you disagree, you must cease usage immediately.
You may need to register for an account and provide personal information. You acknowledge that Locate2u will rely upon any information you give to Locate2u in the course of completing the registration process always being accurate, correct and up to date. You cannot use the Platform if you are not of legal age or are barred from receiving services under applicable law.
You agree to use the Platform only for permitted purposes and in compliance with applicable laws. You are responsible for all costs associated with access and use. You have sole responsibility for protecting the confidentiality of your password and/or email address. You must not tamper with the Platform, transmit malicious code, or exceed your User Licence allocation. Data loss is your responsibility.
Upon purchasing, using, or agreeing to these terms, you receive a User Licence for the specified term. The licence automatically renews for consecutive periods unless terminated with 30 days' notice. Locate2u may determine fair use and terminate your licence with 7 days' notice if usage is deemed improper.
Locate2u may grant a temporary 14-day trial licence at its discretion. Locate2u reserves the right to limit, suspend and/or stop providing the Platform, Products and/or Services at any time or from time to time, with or without prior notice. Unless cancelled, you will be automatically charged applicable fees at trial end.
If for any reason you are not satisfied with the Platform, Products and/or Services, you may, within the first 30 days of this Agreement, terminate this Agreement by written notice.
Delivery occurs electronically via methods Locate2u determines appropriate. Delivery will be completed and Locate2u's obligations in respect thereof satisfied upon Locate2u making the Products and/or Services available.
Locate2u will use best efforts to repair or replace defective Equipment. Risk in each piece of Equipment passes to you upon delivery. You use Equipment at your own risk, and Locate2u bears no responsibility or liability for any Loss to any of your personnel or property.
This Agreement entitles you to access Products and Services for the number of User Licences granted. Exceeding this allocation results in additional charges. You must not misuse our Platform, Products or Services, that includes undermining the security or integrity of our systems or networks; access without authorisation; modify, copy, adapt, reproduce, disassemble, decompile, reverse engineer or extract the source code.
Prices are stated on the Platform or in Enterprise Agreements, exclusive of GST and taxes. Locate2u will debit the outstanding amount prior to the commencement of each billing period. Failed debits result in service termination. You must pay all amounts without set-off or deductions. Late payments incur 10% annual interest (or the maximum allowed by law) plus collection costs.
Locate2u takes no responsibility for the content and maintenance of, or privacy compliance by, any linked website. Any hyperlinks do not imply endorsement. Third-party Software is the provider's responsibility, and Locate2u has no liability for it.
Your information is subject to Locate2u's Privacy Policy, which is available via the Platform. Locate2u may use de-identified data for business purposes and provide it to third parties in aggregated form, including trends and geo-location statistics.
Everything on the Platform and incorporated in the Equipment, Products and/or Services is provided to you "as is" and "as available" without warranty or condition of any kind. Implied Terms under the Competition and Consumer Act 2010 (Cth) limit Locate2u's liability to resupply, repair, or replacement.
Locate2u or any of its officers, employees, contractors or agents will not be liable to you for any Losses incurred by you or Claims made by you as a result of using the Platform. Locate2u's liability is limited to the price charged and does not extend to consequential loss or lost profits.
Locate2u reserves the right to amend this Agreement from time to time upon reasonable notice (usually 30 days' prior notice). Amendments are published on the Platform or notified via email or post. You may terminate upon notification of variations.
Either party may terminate with 30 days' notice or for material breach not remedied within 14 days, or for bankruptcy. Upon termination, you must permanently remove and return or destroy all software Products from your computers. You remain liable for the balance of the Licence Term unless clause 6 applies or Locate2u breaches.
Locate2u may subcontract the performance or provision of any part of the Services and/or Platform without obtaining the prior written consent from you, provided such subcontractor is (in the reasonable opinion of Locate2u) reputable and suitably experienced.
Any notice, consent, information, application or request that may be given to a party under this Agreement is only given if it is in writing and delivered or posted to that party at its notified address.
If any provision is prohibited in a jurisdiction, it is ineffective only to that extent. Failure to exercise rights does not constitute waiver. This Agreement contains the entire Agreement between the Parties and supersedes any previous understandings, commitments or agreements, oral or written. This Agreement is governed by the laws of New South Wales.
The parties must attempt good faith negotiation within 14 days of written notice. If unresolved, mediation through the Resolution Institute Chair follows. The mediation will be held in Sydney, Australia. If mediation proceeds 8 hours without resolution, either party may terminate it.
Key terms are defined throughout this Agreement, including Agreement, Claim, Dispute, Equipment, Implied Terms, Intellectual Property Rights, Licence Term, Loss, Platform, Products, Service, User Licence, and You.
